TRON Media Pay Per Click Marketing Terms and Conditions

1. Terms of business
These terms and conditions apply and are legally binding whilst TRON Media LTD (TRON Media) supply in services to you (the customer) in relation to Pay Per Click (PPC) Management, namely Google Adwords Accounts.

2. Period of contract
The contract will run from the date on which the contract is agreed by the customer, for 30 days (unless agreed elsewhere with written confirmation) and will continue thereafter on a monthly basis unless and until terminated by either party in writing on not less than 3 working days notice (with 9am being the start of the day). Such notice to expire at the end of the calendar month in which the notice was given.

3. Services Provided
a. TRON Media will use all reasonable endeavours to ensure that customers advertising receives the most favourable placing on Google and other major search engines identified by TRON Media from time to time that TRON Media can practically obtain.
b. Customers will provide TRON Media with all relevant information to ensure that TRON Media are able to ensure the correct exposure on the desired search engine.

4. Communication to the customer
TRON Media will maintain regular contact with the customer to ensure both parties are kept informed of all relevant information necessary to enable TRON Media to provide the services.

5. Payment for services
In consideration of the services provided TRON Media, the customer will pay TRON Media at such a rate as set out in the contract between TRON Media and the customer and may from time to time be amended.

6. Method of payment
Payment from the customer to TRON Media will be made by credit or debit card or such other method as agreed by both parties. Customer will provide TRON Media with all bank details necessary to enable payments to be taken.

7. Notice
All notice shall be in writing and will be deemed validly served if addressed and transmitted to the last known operating address of the recipient.

8. Confidentiality
a. The methods used to increase your Click through rate and Cost per click constitute confidential information and may not be used by you for 3 months after termination your contract without our prior written permission.
b. You agree not to use the rules or tools involved in the bidding, advert and keyword selection and creation process for a period of 3 calendar months from the expiry of the agreement.

9. Liability
a.TRON Media s liability is limited to the obligation on the part of TRON Media under this agreement. TRON Media will not be liable for any other liabilities direct or indirect except where caused by the sole negligence of TRON Media. In any event TRON Media s liability will not exceed the value of 3 months fees incurred to the customer.
TRON Media Limited cannot be held responsible for any loss of earnings as a result of your advert not showing on the search engines or for any other related reason.
b.If you cancel our services TRON Media will put your account back to how it was found. If you don't want this to occur, or remove access from your account to the TRON Media MCC then you, the client, are liable to 3 months of management fee, to be paid within 14 days of your cancellation date.

10. This agreement shall be subject to English law.

TRON Media Limited Search Engine Optimisation Terms and Conditions

1.    Terms of business
These terms and conditions apply and are legally binding whilst TRON Media Limited (TRON Media) supply in services to you (the customer) in relation to Search Engine Optimisation (SEO).

2.    Period of Contract
Contracts run for an initial 6 month period, and then rolling 30 days unless otherwise stated in the TRON Media Order Form, and can be cancelled in writing by either party subject to a 1 month notice period after the initial 6 months.

3.    Services Provided
TRON Media will have the ability to optimise the structure and content of clients’ web pages. Such changes generally have a minimal visual impact. TRON Media will work directly with the client in order to maintain the original look and feel of your website.

4.    Submitting to the Search Engines
The Client grants authority to submit the web site pages being promoted to search engines and directories and must allow implementation of all optimisation strategies on their website.

5.    Site Access
The client must provide TRON Media with log-on information (username and password) to gain FTP access to the website. TRON Media will maintain confidentiality of log-in information. Webmasters must be informed by the client, informing them that TRON Media have access to the Web site and are performing SEO services on the site.

6.    Matters relevant to the campaign
Any SEO work that TRON Media undertakes may be detrimentally affected if the Client has:
a.    Employed another Search Engine Optimisation (SEO) Company to work on the web site at the same time
b.    Requested or exchanged links with link farms or undertaken any spamming techniques which may harm the web site's ranking with Google or other Search Engines
c.    Created any duplicate sites, duplicate content or pages, redirects or doorway pages
d.    Employed the services of a Submission Company during the same period
e.    Any other additional SEO or SEM related activity

7.    If any such work has been undertaken either currently or prior to the appointing of TRON Media been undertaken TRON Media will not be held responsible for any agreed targets and in such circumstances TRON Media reserves the right to withdraw it’s obligations to the client.

8.    TRON Media may make void any campaign and any outstanding balance becomes payable should it be discovered that the client has participated in actions considered undesirable by the Search Engines, such as hidden links, links to link-farms, FFA link pages, redirect or cloaking techniques, submissions the web pages of the site to the search engines, search directories or other websites without the consent of TRON Media, use of automated web site submission software or automated reciprocal link programs.

9.    Search Engine Subscriptions
Where Search Engines require subscriptions in order to be registered these costs are the responsibility of the client unless otherwise stated in writing in the agreement or as published as part of the campaign that has been purchased.

10.    Payment for services/Method of Payment
Set up fees are payable with order. Ongoing fees are payable monthly by agreed credit card mandate, by BACS or by cheque within the set due date period as detailed on invoice.

11.    Non Payment
TRON Media reserves the right to suspend a campaign following non receipt of ongoing fees.

12.    Guarantees
No guarantees will be given as to a client’s site position in the search engines as the search engines change their ranking algorithms on a regular basis. Additionally, both new sites and competitor sites may be being optimised and submitted everyday.

13.    Liability
The client is responsible for ensuring that your web site is always active and accessible.

14.    This agreement shall be subject to English law.

Definition of our terminology as used within Website Design T&C’s

1. A 'Project' is any work undertaken or service provided by TRON Media for the Client on their request and as described in our confirmation order email to that Client.
2. A 'Client' is a person, persons, business or organisation using any of the services provided by TRON Media.
3. 'Live Mode' means the date the website is available on the Client’s chosen domain.
4. 'Domain' is the website address as specified by the Client.
5. 'Open Source Software' is software made freely available to anyone under the GNU General Public License (GPL).
6. 'Hosting' is a yearly cost to keep a clients website activated online.
7. 'Content' is both text and images that the Client requires on the website.

TRON Media Website Design Terms and Conditions

1. The contract between TRON Media and the Client will be on these conditions, to the exclusion of all other terms and conditions. Any variations to these conditions shall have no effect unless agreed in writing.

2. The works to be carried out shall be as set out in the TRON Media confirmation order email.

3. Email will be our method of contact with regard to all communication. Although TRON Media can be contacted by telephone, we will use email as our primary method of contact and therefore it is the Client's responsibility to inform us of any change in email address so we always have up to date email contact details. TRON Media can not be held liable in any way relating to communication issues if we are not supplied a valid email address.

4. TRON Media will only commence work on a Project after receipt of 35% deposit of the quoted Project fee from the Client. TRON Media will also require the remaining 65% payment on completion of the Project.

5. The deposit paid to TRON Media covers the cost of design work carried out. It is not possible to refund a deposit once TRON Media have sent the first design to the Client. TRON Media reserve the right to decide whether a refund is applicable if requested by the Client for any reason. A refund is not guaranteed by TRON Media, but possible providing TRON Media decide upon this option.

6. TRON Media shall expect the Client to carry out sufficient research before proceeding with a website. This will include checking that the website/idea/business will operate legally. It is important that the website is not in any way illegal.

7. It is important for the Client to keep in contact with TRON Media throughout the entire Project. If we do not receive email or phone contact from a Client for more than 3 months, the Project may be terminated, and the deposit will not be refunded. However TRON Media shall also attempt to make contact with the Client when needed.

8. Where images used on the website have been purchased by TRON Media on behalf of the Client, these images are strictly for use on the website only. TRON Media are not liable for misuse of these images by the Client or any other person’s copying, altering or distributing the images to individuals or other organisations.

9. TRON Media will host the website if the Client requires us to do so and on receipt of full payment of our Hosting fees. In doing so, TRON Media will endeavour to provide a reliable and professional service to the Client at all times but do not guarantee that the website Hosting will be available at all times, especially in the event of a technical failure beyond their control.

10. TRON Media cannot be held responsible for anything adversely affecting the Client's business operation, sales, or profitability that might be claimed is a result of a service offered by TRON Media.

11. Where asked to provide search engine optimisation for a Client, TRON Media do not guarantee any specific placement or high ranking on search engines.

12. TRON Media will provide the Client with an expected completion date for the Project (live on the internet) if requested. TRON Media will endeavour to meet any given deadline, but do not guarantee and are not bound in any way to complete the Project by this date.

13. TRON Media are the sole owners of all design and code of the website until final payment has been received in full. Once final payment is received, the Client will then co-own the design and code of the website, unless Open Source Software is used. TRON Media reserve the right to re-use any coding and images used on the site, excluding branding, which becomes the sole property of the Client.

14. Images purchased by TRON Media for use on the Client's website, after approval from the client, are to be paid in full by the Client, and will be added on to the final invoice for the Project.

15. All images displayed on the Client's website will only be used after authorisation by the Client, and are the sole responsibility of the Client regarding usage and copyright. Should any legal issues or claims arise from the content or copyright of any images supplied by the Client or TRON Media, they will be the sole responsibility of the Client.

16. Domain names will be registered by TRON Media and also registered to the TRON Media current address. Although the domain names are registered to TRON Media, the Client is the legal owner of the domain and if they request to have details changed or the domain transferred elsewhere, TRON Media will do this within a reasonable timeframe.

17. It is the responsibility of the Client to renew their domain names when due. If a domain name expires, TRON Media can not be held liable for this. However, TRON Media will make reasonable effort to contact the Client regarding domain renewal.

18. When a Client renews Hosting with TRON Media, this also includes domain renewal if the renewal is needed to keep the site functioning and was purchased as part of the Hosting package. If the Client does not renew the Hosting, their domain name could be made available to the public for purchase and TRON Media can not be held liable for this.

19. Renewal of Hosting is due on a yearly basis. The date of renewal will be annually from the date the website was ordered by the Client. The Hosting will not be renewed if TRON Media cannot contact the Client or the Client requests for TRON Media to not host this site. This will also affect the domain as per item 18.

20. The Hosting renewal charge must be received within 10 days of the Hosting expiry date. TRON Media reserve the right to deactivate any website where the Hosting has expired and the Client has not paid the renewal charge. There will be an admin fee set by TRON Media for reactivating the website/Hosting.

21. Where asked to provide search engine optimisation for a Client, TRON Media do not guarantee any specific placement or high ranking on search engines.

22. If the Client does not use TRON Media Hosting services, then the management and Hosting of the Domain name are the full responsibility of the Client.

23. Should a Client wish to move Hosting away from TRON Media or transfer a Domain name away from TRON Media, a £50 admin charge will be issued, which must be paid before the transfer takes place.

24. Once the completed Project has been handed over to the Client, TRON Media has no control of, or responsibility for, the content of Clients’ websites. In no way does the textual or image based Content of our Client's web sites constitute TRON Media endorsement, or approval of the website or the material contained within the website. TRON Media has not verified any of the materials, images or information contained within our Client's web sites and is not responsible for the content or performance of these sites or for the Client's transactions with them. TRON Media provides links or references to our Client's websites solely for the convenience of prospective customers and intends that the links it provides be current and accurate, but does not guarantee or warrant that such links will point to the intended Client site at all times.

25. TRON Media are not liable for loss, damage or corruption to files or information stored on its servers or individual PCs relating to a Client's website. The Client is solely responsible for any information or files relating to its website. However, all Project files will be backed up locally and off site.

26. If a Domain name is purchased by the Client through a company other than TRON Media, the Client has full responsibility in making sure that the domain name is renewed when due. TRON Media will not renew the Domain name when annual Hosting renewal is due if the Domain name is purchased through a company other than TRON Media. This also applies to Hosting.

27. TRON Media makes no claims that the contents of this website may be lawfully viewed or downloaded outside England and Wales. Access to this website may not be legal by certain persons or in certain countries. If this website is accessed from outside of the United Kingdom, it is done at own risk and the visitor is responsible for compliance with the relevant laws of the visitor’s jurisdiction. The terms and conditions of this website are governed by the laws of England and Wales. Jurisdiction for any claims arising in respect of this website’s Content shall lie exclusively with the courts of England. If any provision of these terms and conditions is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect.
